1. Introduction & Acceptance of Terms

1.1. Welcome to europroex.com (the "Platform"), a digital marketplace operated by EUROPROEX PC ("EUROPROEX", "we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of the Platform and its associated services, including listing, bidding, offering, selling, and purchasing agricultural products ("Services").

1.2. Binding Agreement: By registering for an account, accessing, or using the Platform or Services in any manner, you ("User", "you", "your") agree that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform or Services.

1.3. B2B Focus: The Platform is primarily intended for business-to-business (B2B) transactions between agricultural producers/sellers and professional buyers/traders. Users acknowledge the predominantly commercial nature of the transactions.

2. Definitions

  • Auction: A process where Sellers list items for sale and Buyers place bids, with the item typically sold to the highest bidder meeting the auction criteria.
  • Bid: A binding offer made by a Buyer to purchase an item at a specified price.
  • BNPL (Buy Now, Pay Later): A short-term financing option potentially offered to eligible Buyers, subject to separate terms and credit approval.
  • Buyer: A registered User who bids on or purchases items on the Platform.
  • Certified Estimator: An independent third-party professional approved by EUROPROEX to assess and report on the quality of listed products.
  • Listing: An item or lot of agricultural products offered for sale by a Seller on the Platform, either via auction or direct offer.
  • Offer: A binding proposal from a Buyer to purchase a listed item at a specific price, or an offer from a Seller to sell at a specific price.
  • Seller: A registered User (typically a producer, cooperative, or trader) who lists items for sale on the Platform.
  • User Account: The registered account required to access and use most Platform Services.

3. User Accounts & Verification

3.1. Registration: To use most Services, you must register for a User Account, providing accurate, current, and complete information as prompted by the registration form (including business details for B2B users).

3.2. Verification (KYC/KYB): EUROPROEX reserves the right to perform identity and business verification checks upon registration or at any time thereafter. This may involve requesting official identification documents, business registration certificates, VAT numbers, or proof of financial standing. Failure to provide requested information may result in account suspension or termination.

3.3. Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify EUROPROEX immediately of any unauthorized use of your account.

3.4. Eligibility: Users must be legally capable of entering into binding contracts under applicable law.

4. Platform Services

4.1. EUROPROEX provides an online platform for Sellers to list agricultural products and for Buyers to find, bid on, and purchase these products.

4.2. Services include hosting listings, facilitating auctions and offers, providing communication tools, displaying market information, and potentially integrating payment and BNPL services.

4.3. EUROPROEX is a Marketplace Provider: EUROPROEX facilitates transactions but is not typically a party to the actual contract of sale between the Buyer and Seller, unless explicitly stated. We do not take ownership of the goods listed.

5. Seller Obligations

5.1. Listing Accuracy: Sellers are solely responsible for the accuracy, completeness, and legality of their listings, including descriptions, quantities, quality specifications, origin, certifications, and images. Sellers must disclose any material defects.

5.2. Quality Representation: Sellers must accurately represent the quality of their products. If using a Certified Estimator, the Seller agrees to cooperate with the estimation process.

5.3. Binding Sale: A Seller's listing in an auction constitutes a binding offer to sell to the winning bidder meeting the terms. Accepting an Offer from a Buyer also creates a binding contract.

5.4. Fulfillment: Sellers are obligated to deliver the goods sold according to the agreed terms upon successful completion of the transaction and receipt of payment.

5.5. Compliance: Sellers must comply with all applicable laws and regulations regarding the production, labeling, and sale of their products.

6. Buyer Obligations

6.1. Bidding & Offering: Buyers must have the genuine intent and financial capacity to purchase items they bid on or make offers for.

6.2. Binding Purchase: Placing a winning bid or having an Offer accepted by a Seller creates a legally binding contract to purchase the item(s) under the specified terms.

6.3. Payment: Buyers are obligated to pay the full purchase price, including any applicable taxes, fees, and shipping costs, within the timeframe specified in Payment Terms.

6.4. Inspection: Buyers should inspect goods promptly upon receipt as per Quality Assessment & Disputes section.

7. Bidding and Auction Rules

7.1. Binding Bids: All bids are legally binding offers. Placing a bid confirms your intent to purchase the item at the bid price if you are the winning bidder.

7.2. Bid Retraction: Bids are generally non-retractable. Retractions may only be requested in cases of clear typographical error reported immediately and subject to EUROPROEX's sole discretion.

7.3. Auction Types: The specific rules for each auction (minimum bid increment, reserve price, duration, closing mechanism) will be detailed on the listing page.

7.4. Shill Bidding Prohibited: Sellers, their associates, or agents are strictly prohibited from placing bids on their own auctions to inflate prices.

7.5. Winning Bid: The highest valid bid meeting the auction criteria at the time the auction closes determines the winning bidder. EUROPROEX's system records are the definitive determinant.

8. Payment Terms

8.1. Payment Methods: Accepted payment methods will be specified on the Platform (e.g., bank transfer, credit card via third-party processor).

8.2. Payment Deadline: Winning Buyers must initiate and complete full payment within 3 business days of auction closing or offer acceptance, unless alternative terms are approved.

8.3. BNPL: If BNPL options are offered, they are subject to eligibility criteria, credit checks, and separate terms provided by the financing partner. Approval is not guaranteed.

8.4. Taxes & Fees: Buyers are responsible for all applicable taxes (e.g., VAT), import duties, and fees associated with their purchase.

9. Quality Assessment & Disputes

9.1. Certified Estimators: Where applicable, the report from a EUROPROEX Certified Estimator provides an independent assessment of quality. This report serves as a key reference but does not constitute an absolute guarantee.

9.2. Inspection & Claims: Buyers must inspect goods upon delivery and report any significant discrepancies in quality or quantity to EUROPROEX and the Seller within 24-48 hours, providing clear evidence.

9.3. Dispute Resolution: EUROPROEX may offer a dispute resolution process to help Buyers and Sellers resolve issues. Users agree to cooperate in good faith.

10. Shipping & Logistics

10.1. Responsibility: Unless otherwise specified in the listing or agreed between the parties, the responsibility and cost for shipping, insurance, and logistics typically fall upon the buyers.

10.2. Future Logistics Services: EUROPROEX may offer integrated logistics booking services in the future, which will be subject to separate terms.

11. Prohibited Activities

Users are strictly prohibited from:

  • Providing false, inaccurate, or misleading information.
  • Using the Platform for any fraudulent or illegal purpose.
  • Placing bids or offers without intent to purchase (Fake Bidding).
  • Artificially inflating prices (Shill Bidding).
  • Engaging in collusion or bid rigging.
  • Interfering with other users' listings or auctions.
  • Abusing bid retraction mechanisms.
  • Engaging in fee circumvention (transacting off-platform to avoid fees).
  • Infringing upon third-party intellectual property rights.
  • Distributing viruses or harmful code.
  • Harassing, threatening, or abusing other users or EUROPROEX staff.
  • Violating any applicable laws or regulations.

12. Consequences of Breach

12.1. Without limiting other remedies, EUROPROEX reserves the right to take action against users who violate these Terms. Actions may include: issuing warnings, temporarily or permanently suspending accounts, terminating accounts, cancelling listings or bids, forfeiting deposits, reporting to authorities, and pursuing legal action.

12.2. Users may be held liable for losses incurred by EUROPROEX or other users resulting from their breach of these Terms.

13. Intellectual Property

13.1. The Platform, its content, features, and functionality are owned by EUROPROEX or its licensors and are protected by intellectual property laws.

13.2. Users grant EUROPROEX a non-exclusive, worldwide, royalty-free license to use the content they provide solely for operating and promoting the Platform.

14. Disclaimers & Limitation of Liability

14.1. Platform "As Is": The Platform and Services are provided on an "as is" and "as available" basis. EUROPROEX disclaims all warranties, express or implied.

14.2. No Guarantee: EUROPROEX does not guarantee the accuracy, completeness, reliability, or timeliness of any information on the Platform.

14.3. Transactions: EUROPROEX is primarily a facilitator. We are not responsible for the actions or omissions of Buyers or Sellers, the quality or legality of listed items, or the ability of parties to complete transactions.

14.4. Limitation of Liability: To the fullest extent permitted by law, EUROPROEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

15. Indemnification

You agree to defend, indemnify, and hold harmless EUROPROEX and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Platform, violation of these Terms, or violation of any third-party rights.

16. Data Protection

EUROPROEX collects and processes personal data in accordance with its Privacy Policy and the General Data Protection Regulation (GDPR). By using the Platform, you consent to such processing as described in the Privacy Policy.

17. Term & Termination

17.1. These Terms remain in effect until terminated by you or EUROPROEX.

17.2. You may terminate your account at any time by contacting the platform.

17.3. EUROPROEX may suspend or terminate your account or access to the Services at any time, with or without cause or notice, particularly for breach of these Terms.

17.4. Provisions intended to survive termination (e.g., Fees owed, Disclaimers, Liability Limitations, Indemnification, Governing Law) shall remain in effect.

18. Governing Law & Dispute Resolution

18.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law principles.

18.2. Dispute Resolution: Users agree to first attempt to resolve any dispute informally by contacting EUROPROEX. If informal resolution fails, disputes shall be resolved exclusively by the competent courts of Athens, Greece.

19. Modifications to Terms

EUROPROEX reserves the right to modify these Terms at any time. We will provide notice of significant changes via email or a notice on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
